SilentChef - Terms & Conditions

1. What do these terms cover?

1.1 These user terms and the documents referred to in them (we refer to these as the Terms) govern:

1.1.1 Your access to and use of our services through an account with us (referred to in these Terms as Your Account) via our website at silent-chef.com (the "Site," when live) and our mobile applications (together our Platforms), all functionality on our Platforms, applications, buttons, browser plugins, and application programming interfaces, as well as any functionality on third parties who may integrate them (we refer to all these collectively as the SilentChef Services).

1.1.2 The rules that apply to any recipes or other information, text, graphics, photos or other materials or content you upload to or otherwise make available on the SilentChef Services (Your Content).

1.1.3 How you are entitled to use any other rights and content, including (i) our proprietary rights in the SilentChef Services themselves; and (ii) any content appearing on the SilentChef Services, including (without limitation) content owned and/or created by us, as well as content uploaded to the SilentChef Services or otherwise licenced to us by a third party (SilentChef Content).

1.2 Please read these Terms carefully before you start to use the SilentChef Services or create an account with us. By using the SilentChef Services or creating Your Account, you confirm that you accept these Terms and that you will comply with them. If you do not agree to these Terms, you are not entitled to use the SilentChef Services or to create Your Account and must refrain from doing so.

1.3 At this time, we require you to create an account to use the SilentChef Services. If you do not create an account, you will not have access to our functionality.

2. Who do these terms apply to?

2.1 These Terms apply to you as an individual once you create Your Account or otherwise use the SilentChef Services. These Terms do not apply to businesses contracting with us (those would be on separate terms).

2.2 In creating Your Account or otherwise using the SilentChef Services, you confirm that:

• you are at least eighteen (18) years of age; and
• the details you provide on creation of Your Account are correct and complete, and you will update these details if they change for any reason.

2.3 You may deactivate or request deletion of Your Account at any time by emailing contact@silent-chef.com.

2.4 We currently associate Your Account with your email address rather than a custom username. We may allow custom usernames in the future.

3. Who is SilentChef?

The SilentChef Services and Your Account are operated by Silent Chef Ltd ("we," "us," or "our"), a company registered in England and Wales with company number 16123284. We do not publicly list our business address at this time. We do not have a VAT number as our revenue is below the threshold.

4. Accessing the SilentChef Services

4.1 Your right to access the SilentChef Services

4.1.1 Provided that you comply with these Terms, we grant you a non-exclusive, non-transferable right to use the SilentChef Services for as long as Your Account remains active.

4.1.2 The rights we grant you are fully revocable at our discretion. We may suspend or withdraw your access to Your Account or the SilentChef Services at any time without notice if you breach these Terms or for other valid reasons.

4.2 Changes to and unavailability of the SilentChef Services

4.2.1 We aim to update the SilentChef Services regularly and may change them (and Your Content or SilentChef Content) from time to time. However, we are not obliged to keep everything up to date.

4.2.2 Occasionally, we may need to make the SilentChef Services (or parts of them) unavailable or restrict access to Your Account to perform maintenance or address issues. We are not liable if the services are unavailable for any period.

4.3 Your Account information, Your Systems, and third-party access

4.3.1 You must keep your login credentials (email, password) confidential. We can disable or reset your password if we believe you have violated these Terms. If someone else learns your password, notify us immediately at contact@silent-chef.com.

4.3.2 You are responsible for ensuring your own network, hardware, and software (Your Systems) are suitable for accessing SilentChef. We are not liable for any delays or losses resulting from Your Systems.

4.3.3 In the future, you may register or log in to SilentChef via third-party accounts (e.g., Google, Apple, Facebook). If so, you authorise us to process data you agree to share. We are not responsible for these third-party terms or policies.

5. Your Content

5.1 Uploading Your Content

5.1.1 You can upload or digitise recipes or other content (Your Content) in SilentChef. Follow the instructions in Your Account.

5.1.2 Currently, Your Content remains private to you. We may introduce features to share content with others in the future, and we will let you know if or when that happens.

5.1.3 As SilentChef evolves, we may add features allowing Your Content to appear on third-party sites or platforms. We will notify you via Your Account if such features become available.

5.2 You are responsible for Your Content

5.2.1 You are fully responsible for Your Content, including ensuring you have permission to upload it. We are not liable for Your Content or any legal issues arising from it.

5.2.2 You warrant that Your Content complies with our Acceptable Use Standards in Section 7.3. We may remove or block any content that breaches these Terms.

5.2.3 You agree to indemnify us for any loss or damage arising from claims that Your Content violates our Acceptable Use Standards or any applicable laws.

5.2.4 We have a "take down" process to remove content we believe violates these Terms or relevant laws.

5.3 How we can use Your Content

5.3.1 By uploading Your Content, you grant us a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, transferable, sub-licensable licence to use, copy, modify, store, display, and distribute Your Content as needed to operate and improve the SilentChef Services.

5.3.2 This licence continues even if you deactivate Your Account or if we terminate your access, since copies of Your Content might exist in backups or future sharing features.

5.3.3 You can delete Your Content at any time from your account. Once deleted, it will not be viewable in your account, though technical copies may remain in our systems for a reasonable period.

6. (Reserved) No Premium Services Yet

We currently do not offer any subscription or Premium Services. All features of SilentChef are provided free of charge. If this changes, these Terms will be updated to reflect new subscription or payment terms.

7. Restrictions on your use of the SilentChef Services and Acceptable Use Standards

7.1 General restrictions

7.1.1 You may only use the SilentChef Services in lawful ways and in accordance with these Terms. You must not:

• (a) breach any applicable laws or regulations;
• (b) use SilentChef fraudulently or for unlawful purposes;
• (c) harm or attempt to harm minors;
• (d) send or upload material that does not comply with our Acceptable Use Standards;
• (e) transmit unsolicited adverts or spam; or
• (f) knowingly transmit viruses or any harmful code.

7.1.2 In future, we may allow linking to contacts or third-party accounts. You confirm you have rights to communicate with them.

7.1.3 You agree not to reproduce, duplicate, or re-sell any part of the SilentChef Services in violation of these Terms, and not to hack or disrupt any part of our service or associated networks.

7.2 Interactive Services

7.2.1 Currently, we do not host discussion boards. If we add interactive features, we may moderate them but are not obliged to do so.

7.2.2 We will strive to address risks to users (particularly minors) but cannot guarantee to monitor all content at all times.

7.3 Acceptable Use Standards

7.3.1 These standards apply to any of Your Content and your activity within the SilentChef Services. You must comply with their spirit and letter.

Your Content must:

• (a) be relevant to cooking, food, or recipes (if you are uploading recipe data);
• (b) be accurate where it states facts;
• (c) be genuinely held where it states opinions; and
• (d) comply with applicable law in the UK and in any country from which it is posted.

Your Content must not:

• (a) disclose personal data of others without their consent;
• (b) be defamatory, obscene, hateful, or inflammatory;
• (c) promote violence or discrimination;
• (d) infringe any third-party rights (including copyright);
• (e) mislead or breach any legal duty;
• (f) encourage illegal activity;
• (g) harass or impersonate another person; or
• (h) appear to come from us if it does not.

8. SilentChef Content

8.1 Ownership of SilentChef Content

We plan to use third-party or open-source data (such as Open Food Facts) in the future for product data. We do not guarantee its accuracy. For now, we do not currently use Open Food Facts, but we may in future.

Other than your rights in Your Content (see Section 5), all rights in SilentChef Content remain owned by us or our licensors. You have no rights in it except as set out in these Terms.

8.2 How you can use SilentChef Content

8.2.1 We grant you a limited, revocable, non-transferable licence to use SilentChef Content only for your personal, non-commercial use of the SilentChef Services.

8.2.2 This licence does not extend to commercial use. If you wish to use our content for commercial purposes, please request a separate licence from us.

8.3 Accuracy of SilentChef Content

8.3.1 We do our best to keep content accurate and current but cannot guarantee it is error-free.

8.3.2 If we provide expiry dates or allergen notes, treat them as guidance only. You remain responsible for checking if items are safe.

8.3.3 We disclaim liability for reliance on any nutritional or allergen data.

8.4 Health and Nutritional Information

8.4.1 You may provide health info (like allergies, height, weight) in the future. Always consult a healthcare provider before making major dietary changes.

8.4.2 We do not guarantee that any meal plan or advice will suit your specific needs. We are not responsible if you experience any health issues or allergic reactions.

8.4.3 We disclaim liability for any harm from following nutritional advice in SilentChef.

9. Termination and suspension of your account and access to SilentChef Services

9.1 If, in our opinion, you breach these Terms, we may:

• (a) issue a warning;
• (b) immediately suspend or terminate your right to use SilentChef;
• (c) remove or block any of Your Content; or
• (d) disclose information to law enforcement if necessary.

9.2 You may request deactivation or deletion of Your Account at any time by emailing contact@silent-chef.com.

9.3 Termination or deactivation of Your Account shall not affect any accrued rights or liabilities. Certain provisions, like the licence in Section 5.3, survive termination.

9.4 Upon termination or deactivation, you lose access to the SilentChef Services and your account data.

10. Our liability to you

10.1 If we fail to comply with these Terms, we are responsible for any loss or damage you suffer that is a foreseeable result of our breach or negligence. We do not accept liability for any loss or damage that was not foreseeable.

10.2 To the extent we may lawfully do so:

• 10.2.1 we exclude liability for any implied terms and conditions; and
• 10.2.2 we do not guarantee the SilentChef Services or Your Content will be uninterrupted, error-free, or suitable for a particular purpose.

10.3 We are not liable for:

• (a) changes or unavailability of the SilentChef Services (see 4.2);
• (b) issues with Your Systems (see 4.3.2);
• (c) Your Content, including whether you have rights to upload it;
• (d) reliance on SilentChef Content (nutritional data, etc.);
• (e) damage from malware or attacks;
• (f) goods or services from third parties accessed via SilentChef; and
• (g) events beyond our reasonable control (including any third-party AI service performance).

10.4 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or other liabilities which cannot be excluded by law.

10.5 You have legal rights as a consumer. These Terms do not override them.

11. Information about you

We process personal data in accordance with our Privacy Policy. By using SilentChef, you agree to our data practices as described there.

12. Viruses, hacking, and other offences

12.1 We do not guarantee that the SilentChef Services will be secure or free from bugs or viruses.

12.2 You are responsible for protecting your devices and using antivirus software.

12.3 We are not liable for damage caused by distributed denial-of-service attacks, malware, etc. when you use or download content via SilentChef.

12.4 You must not misuse the SilentChef Services by knowingly introducing viruses or hacking. We may report any criminal misuse to authorities.

13. Third-party links and goods/services

13.1 Third-party links

The SilentChef Services may, in future, contain links to third-party websites or apps. We are not responsible for their content or any liability related to them.

13.2 Transactions instigated through SilentChef

You may eventually purchase goods or services from third parties via referral links. Those transactions are subject to the third parties' terms, and we are not liable for them. We may earn commissions or referral fees if you do so.

13.3 AI-generated content

We use OpenAI to enhance recipe suggestions. We do not share your personal data with OpenAI; only recipe-related data is used.

14. Linking to the SilentChef Services

14.1 You may link to our home page or app store listings in a fair and legal way that does not damage our reputation.

14.2 You must not frame the SilentChef Services or claim any endorsement by us without permission.

14.3 We may withdraw linking permission if misused.

15. Other important terms

15.1 If any part of these Terms is found invalid, the rest remains in effect.

15.2 These Terms are governed by English law, and we both agree to the non-exclusive jurisdiction of the English courts (though local laws may allow you to sue in your home country).

15.3 No waiver by us of any provision is a waiver of any other, and not enforcing a right immediately does not mean we cannot enforce it later.

15.4 We may revise these Terms from time to time. If you do not agree with any changes, you must stop using the SilentChef Services. Continued use indicates your acceptance of updates.

Children's Privacy

SilentChef is intended for users aged 18 and over. We do not knowingly collect personal data from children. If we discover we have inadvertently collected such data, we will delete it promptly.
